1. Your Agreement with BuzzPaid:

a. BuzzPaid is the trading name of BuzzPaid Ltd which is as a limited company registered in the UK (Company Number 8249589) and in Ghana; whose registered office in the UK is:

BuzzPaid services enable you to make payments to parties registered with BuzzPaid accounts; transfer money from your balance and similarly receive money from other registered parties to top up balances; withdraw any cash balance on your account. BuzzPaid does not hold deposits or provide investment instruments in fulfilling its services. All moneys through BuzzPaid are held within and channelled through appropriate local banks, to the due recipient.

c. All persons and entities meeting the required local legal requirements can use BuzzPaid services by registering for either of the following categories of BuzzPaid accounts – Personal Account, Corporate Account, or Merchant Account. It is your responsibility to ensure that you meet all required statutory and legal entity requirements applicable in your particular jurisdiction, in using BuzzPaid services.

d. All services are managed by BuzzPaid (referred herein as BuzzPaid/Buzzpaid//BuzzPaid Ltd/us/we/our), and delivered to you as a user of our services (referred herein as you/user/customer/personal/corporate/merchant/client).

e. This Agreement constitutes a contract between you and BuzzPaid and by completing your account registration, you accept that you have read and satisfied yourself on all the provisions under this agreement and will abide by and be governed by them in using our services.

f. BuzzPaid reserves the right to change and update certain provisions stipulated in this Agreement in the future as a result of changes in the applicable regulatory framework, commercial considerations or other external or internal factors. Where this occurs, your Agreement with us shall comprise the updated Agreement in place at any particular time published on our website. You are consequently advised to revisit the terms of Agreement posted on our website to satisfy yourself that you agree to continue the Agreement with us, which we shall consider as the prevailing condition at any time period unless you exercise your right to cancel the Agreement.

2. Use of Account Information:

a. All information you provide during BuzzPaid registration and during the use for our services constitute the necessary information we deem necessary to enable us deliver our services to you. This is the only purpose of your information. We will not disclose your information to any other party without your consent, or as required in fulfilment of clause 2a below.

b. Where BuzzPaid is legally mandated to disclose account information in pursuant of a particular legal case, BuzzPaid will follow all necessary legal means to discharge such obligations and within the applicable local laws. Where your account information becomes subject to such proceedings, we have your permission to disclose the information necessary to meet such legal causes.

c. Security information such as your Password and PIN which you set yourself during the BuzzPaid registration process needs to be only known to you. You agree to closely guard all your security information and not disclose it to any other party. Failure to keep your security information private may adversely compromise the use of your account, for which you may be assigned the burden of any related dispute.

3. Personal Account:

a. A Personal account holder is the person (one individual) who successfully registers for a BuzzPaid Personal Account.

b. The Personal account holder is responsible for using BuzzPaid services in accordance with all the provisions stipulated in this Agreement.

4. Corporate Account:

a. A Corporate account holder is the person (one individual) who is authorised by the corporate entity to register and administer a BuzzPaid Corporate Account on behalf of their department or function or corporate or business entity.

b. The Corporate Account holder may invite as many colleagues as they deem necessary to utilise the corporate account. BuzzPaid will set up sub accounts for all such invited users of the Corporate Account. All invited users for a corporate account will be able to utilise and draw from the balance on the corporate account at any time.

c. The only form of transaction invited corporate account users will be allowed to perform by the BuzzPaid system will be making Payments. Invited users will not be able to request transfer of money to another registered account or request money withdrawal from the Corporate Account

d. Whereas BuzzPaid details all payment transactions by invited users on the Corporate Account holder’s online statement, it is the Corporate Account holder’s responsibility to control expenditure by all invited users of the account.

e. The Corporate account holder is responsible for using BuzzPaid services in accordance with all the provisions stipulated in this Agreement, and ensuring that all invited users of the account comply with the Agreement.

5. Merchant Account:

a. A Merchant account holder is the person (one individual) who is authorised as the bonafide representative of the Merchant entity or Service Provider to register and administer a BuzzPaid Merchant Account on behalf of the Merchant entity or Service Provider.

b. The Merchant account holder is required during registration for BuzzPaid to provide the bank account details of the merchant entity or Service Provider into which BuzzPaid will transfer all due payments made by other users of BuzzPaid, for the goods or services provided by the Merchant or Service Provider to the said user. It is the responsibility of the Merchant account holder to provide true and accurate bank account details for this purpose. BuzzPaid will not be held accountable for any misuse of the said bank account.

c. The Merchant entity or Service Provider is allowed to use a ‘Pay by BuzzPaid’ button on their website to enable a form of payment services on their website provided by BuzzPaid.

d. The Merchant or Service Provider may also choose not to add a ‘Pay by BuzzPaid’ button on their website and still be able to utilise BuzzPaid to receive user payments.

e. The Merchant account holder is responsible for using BuzzPaid services in accordance with all the provisions stipulated in this Agreement.

f. BuzzPaid does not have any responsibility or relation with the goods or services offered by the said merchant entity to any other users or party.

6. Account Registration

a. All users are required to first register on our website to secure a BuzzPaid Account Number before they can begin using our services. Each person can only have one BuzzPaid account. You will not be allowed to create multiple BuzzPaid accounts using your same details.

b. Users are allowed to set their own Password, PIN and similar personal security Identifiers that uniquely identifies a person to a BuzzPaid account. It is the user’s responsibility to ensure that they establish identifiers that will be known only to them and not disclosed to any other party.

c. BuzzPaid adopts users email addresses provided during registration as a main form of communication including messages to confirm activities carried out on their account. You will also require your email address as your Username to be able to log into your BuzzPaid account. It is the responsibility of users to ensure they provide a bonafide email address with their registration which they actively maintain.

7. Account Balance:

a. BuzzPaid account balances represent funds allocated and due, belonging to the account holder.

b. Personal and Corporate Account holders are required, following successful registration to BuzzPaid, to fund their accounts by depositing money at any of our participating banks. Details of our participating Banks are provided to you during the registration process. BuzzPaid reserves the right to add or change relationships with any participating banks. Personal and Corporate Account holders can deposit money to fund their BuzzPaid account balances at any of our participating banks at any time period. Users do not need to have a bank account to be able to deposit money to fund their BuzzPaid balances.

c. Merchant Account holders are not required to deposit any funds against their BuzzPaid account at any time. Merchant BuzzPaid account balances represent payments made by other users for the goods and services provided by the merchant.

d. Important for funding your account balances: Users must provide their unique BuzzPaid Account numbers as the reference against any bank payment. This is the key information used by BuzzPaid to recognise and allocate funds against balances. Failure by users to quote their BuzzPaid Account Number as the payment reference may affect the payment being correctly added to their balance.

e. Personal and Corporate Account holders can utilise any method convenient to them to deposit or add funds to top their BuzzPaid account balances. This may include transferring money, if they have their private bank account, to any of our participating banks into the prepaid BuzzPaid account details. Users without a personal bank account may pay cash at any branch of our participating banks into the prepaid BuzzPaid bank account details.

f. Money deposits and top-ups against your BuzzPaid account will be registered and shown on your BuzzPaid account by the next working day as your bank payment completes successfully. Bank transfers may take a few days to clear; whereas cash payment s may take a shorter period to show on your account.

f. Personal and Corporate account holders can only execute transactions from their account provided they have a positive balance against their account.

8. Payments from your Account:

a. Users with positive account balances can request payment of your specified amount to another party registered with a BuzzPaid account. You will be able to select all merchants and service providers registered with BuzzPaid to whom you can choose to make a payment.

b. BuzzPaid system incorporates stringent security measures to ensure that only you have access to your account to request payments and other transactions. You are required to follow all the security provisions outlined in this Agreement to ensure your account is not compromised to authorise payments from your account.

c. BuzzPaid will act on and execute any successful payment request made from your account to the specified registered recipient. BuzzPaid will not be held responsible for acting on and executing any payments successfully requested on your account.

9. Transferring money from your Account:

a. Users with positive account balances can request transfer of your specified amount to another party registered with a BuzzPaid account. You will need to obtain the BuzzPaid Account number of the registered party to whom you choose to make a transfer. You will not be able to make a transfer without having the BuzzPaid Account number of the party to whom the transfer is to be made.

b. You and the party to receive the transfer have the responsibility of exchanging the recipient’s BuzzPaid Account number and keeping it private between yourselves.

c. BuzzPaid system incorporates stringent security measures to ensure that only you have access to your account to request transfers and other transactions. You are required to follow all the security provisions outlined in this Agreement to ensure your account is not compromised to authorise transfers from your account.

d. BuzzPaid will act on and execute any successful transfer request made from your account to the specified registered recipient. BuzzPaid will not be held responsible for acting on and executing any transfers successfully requested on your account.

10. Withdrawing money from your Account:

a. Users outstanding balances belong to the account holder. Users can request to receive their cash from the outstanding balance at any time by placing a Withdrawal transaction on their account.

b. Personal Account holders and Corporate Account holders: BuzzPaid will contact you to agree and arrange the most convenient form to issue back your cash to you following your successful completion of a withdrawal transaction.

c. Merchant Account holders: All Merchant Account holders are required to provide their company Bank account details to receive payments. On successful completion of a Withdrawal transaction, BuzzPaid will initiate direct payment or transfer of your specified withdrawal amount to the bank account details with which you registered.

d. BuzzPaid system incorporates stringent security measures to ensure that only you have access to your account to request withdrawals and other transactions. You are required to follow all the security provisions outlined in this Agreement to ensure your account is not compromised to authorise withdrawals from your account.

e. BuzzPaid will act on and execute any successful withdrawal request made on your account. BuzzPaid will not be held responsible for acting on and executing any withdrawals successfully requested on your account.

11. Merchant Payment and Service Dispute:

a. Payments to merchants and service providers requested and fulfilled through BuzzPaid are undertaken solely on behalf of the requester. BuzzPaid will bear no responsibility for the quality, lack of quality or any other issues attributable to the service or goods received from the said merchant or service provider.

b. Where users experience disputes related to the services or goods received from BuzzPaid registered merchants or service providers where they are unable to settle directly with the merchant, users are encouraged to inform BuzzPaid on the issue pertaining by sending an email to the BuzzPaid servicing address provided on our website. BuzzPaid will pursue the following actions to support the user’s dispute with the merchant or service provider:

• At our discretion, BuzzPaid may furnish any details related to the disputed transaction that may assist the user to qualify and substantiate their case with the merchant or service provider.
• BuzzPaid reserves the right to delete any merchant or service provider from using BuzzPaid services where a justification has been established confirming that the services or goods provided to users fall short of their advertised service promise.

12. Dispute with BuzzPaid:

a. Users experiencing disputed issues with BuzzPaid services are encouraged to inform BuzzPaid by sending an email to the BuzzPaid servicing email or phoning our contact telephone number provided on our website.

b. BuzzPaid commits to contacting the user concerned within 1-working day of raising the dispute to understand the issue pertaining and pursue possible resolution thereafter, where possible.

13. Cancellation actions on your Account:

a. Users wishing to stop using BuzzPaid services may exercise the right for their account to be stopped by contacting BuzzPaid to formally request their account to be deleted. Such request can only be made by the registered account holder. BuzzPaid will act on the request to delete the account. This will imply that the account is no longer available to be used for BuzzPaid services.

b. BuzzPaid also reserves the right to either lock or delete an account based on derogatory usage of any account in conflict with the provisions of this Agreement. Where this action is taken, users are open to contact and furnish information to BuzzPaid that may counteract the decision to lock or delete their account. BuzzPaid can agree and proceed to reinstate a locked or deleted account to an active status, enabling the account holder to resume usage of the account from the state when the account was deleted or locked.

14. BuzzPaid Fees:

a. BuzzPaid charges users a transaction fee depending on the type of transaction. The transaction fee applicable is shown and displayed to the user at the time they are placing the transaction. The transaction fees are taken directly from the account balance as part of the transaction schedule which is detailed on the online statement of the account. The fees include all charges such a bank charges incurred to fulfil user requests.

b. The current schedule of transaction charges are outlined below. BuzzPaid reserves the right to amend these transaction charges in any future period in keeping with changing economic and other external or internal factors.
